1. Acceptance of Terms

Please read these Terms and Conditions ("Terms") carefully before using the services offered by Koppla Marketing, a division of Koppla LLC ("us", "we", "our", or "Koppla Marketing").

2. Description of Services

Koppla Marketing provides comprehensive digital marketing and technology services including:

• Digital marketing strategy and execution
• Software solutions and web development
• Proprietary website templates and design systems
• Platform integrations and automation
• Email marketing and automation services
• Content creation and distribution
• Social media marketing campaigns
• Digital advertising management
• Marketing analytics and reporting
• Technology consulting

3. Client Responsibilities

As a client or user of our services, you agree to:

• Provide accurate, current, and complete information necessary for service delivery
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations
• Review and approve marketing materials in a timely manner
• Provide necessary authorizations and access for service delivery

4. Intellectual Property

• The content, features, and functionality of our services, including all proprietary website templates, code, design systems, and software, are owned by Koppla Marketing and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
• You retain ownership of any content you provide to us. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content for the purpose of delivering our services.
• For website templates and proprietary software, specific licensing terms apply as detailed in Section 5 below.

5. Website Templates and Proprietary Software License

Our proprietary website templates are NOT open-source and are subject to the following licensing terms:

License Grant

Subject to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the template for one (1) single end product (one website domain).

Restrictions

• No Redistribution: You may not sub-license, sell, rent, share, or distribute the source code to any third party.
• No Template Building: You cannot use this template to build a new template for resale or commercial distribution.
• No Unbundling: Individual components, plugins, themes, or code snippets cannot be extracted and used in other projects without a separate license.
• Source Code Access: For managed deployments, source code access is not included unless a specific buyout fee is paid.
• One Domain Per License: Each license covers use on one (1) production domain only. Additional domains require additional licenses.

Attribution & White Label

You agree to retain the "Designed by Koppla" link in the footer unless a specific white label fee has been paid. Upon payment of the white label fee, you may remove or modify the attribution.

Template Warranty & Modifications

• Templates are provided "as is" at the time of purchase with guaranteed functionality on major modern browsers current at time of delivery.
• No Refunds: Due to the digital nature of templates, all sales are final once files are downloaded or deployment begins, except where required by law.
• Modifications Void Warranty: If you or any third-party developer modifies the template source code, all warranties and support obligations are immediately voided.
• Future browser updates or third-party API changes are not covered under standard warranty.

Third-Party Assets

Our templates include third-party libraries (e.g., Vue.js, Nuxt, Tailwind CSS) which are subject to their own open-source licenses. You agree to comply with the terms of these third-party licenses.

Template License Termination

This license terminates automatically if you violate any of these restrictions. Upon termination, you must destroy all copies of the template and cease using it on your domain immediately.

6. General Service Use License

• Koppla Marketing grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for your business or personal use, subject to the specific terms of your service agreement.
• Any files, software, or digital materials provided as part of our services may be downloaded and used in accordance with your specific license terms. For website templates and proprietary software, additional restrictions apply as detailed in Section 5.
• This license shall automatically terminate if you violate any of these restrictions and may be terminated by Koppla Marketing at any time.

7. User-Generated Content

• Our services may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post to our services, including its legality, reliability, and appropriateness.
• By posting User Content to our services, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such material on and through our services.

8. Payment and Billing

• You agree to pay all fees associated with the services you select.
• All fees are non-refundable unless otherwise specified in writing. For website templates and digital products, all sales are final once files are downloaded or deployment begins, except where required by law.
• We reserve the right to change our fees upon 30 days' notice.
• Additional licenses, white label fees, or source code buyout fees may apply for certain products and services.

9. Termination

• We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason.
• Upon termination, your right to use the services will immediately cease.

10. Data Protection and HIPAA Compliance

Our data protection measures include:

• Comprehensive HIPAA compliance for healthcare clients
• Administrative, physical, and technical safeguards
• Regular staff training on privacy and security
• Encryption of sensitive data in transit and at rest
• Strict access controls and authentication procedures
• 24-hour security incident response

11. Limitation of Liability

IN NO EVENT SHALL KOPPLA LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE OR TEMPLATES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Confidentiality

We protect your confidential information with the same care as our own. Confidential information includes business strategies, customer data, pricing, and any non-public information shared during our relationship. This protection continues even after our relationship ends.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.
